PRC CORPORATE ADVISORY SERVICES
Given its longstanding investment experience in the PRC, Aquitaine offers clients advisory services related to their establishment of both manufacturing and services-related operations in China. Aquitaine personnel have worked with many companies in various sectors, and have provided this type of advice throughout China’s shifting regulatory, financial and political landscape.

We adapt the clients’ operational expertise to China, and supplement that expertise with experience tailored to manage the special circumstances and issues unique to the China market, on a local as well as regional basis.

PRE-SET UP
Set-up in the PRC can be in a rollout fashion (usually from Tier I to Tier II cities) or on a city-by-city saturation basis. The best approach is usually determined by the sector: Aquitaine has access to the first generation of statistical data for the PRC to be utilized specifically for marketing and selling purposes. These demographic studies have been used by MNCs and marketers looking at the best entry points within the various segments of the China market. When combined with amassed on-the-ground experience, this innovative demographic data is invaluable to mandates involving large company roll outs and launches in the PRC, as these projects especially require an understanding of the impact of targeted, state-of-the-art demographics for accurately determining branding, consumer spending trends, volume patterns, and pricing models.

With this demographic input, Aquitaine can also advise on the adaptation of a brand to suit the China market, if required.

In the pre-set up phase, Aquitaine also calls on those PRC relationships that it expects will be relevant and important in the next phase, such as those involved with licensing, supply and supply chain management, construction and real estate, human resources and, of course, legal.

SET UP
Aquitaine advises on the optimal structure for the company’s proposed operations in China. We also implement the various transactions involved in the structuring of the final entity, which might range from joint venture, to wholly owned foreign enterprise, to regional headquarters and /or holding company. For each structure, Aquitaine advises on the following critical areas:

    Capitalisation rules in respect of registered capital and remittance formats;
    Strategies for periodic repatriation and exit stage repatriation;
    Licensing applications/approvals for operation;
    Supply chain establishment and control;
    Strategies for intellectual property protection;
    Coordination and supervision of procurement, design and delivery of fixed assets.

ON-GOING OPERATIONS
Once the company has established its operations in China, Aquitaine has teams experienced in monitoring the company on an on-going basis. For example, Aquitaine is able to navigate China’s highly restrictive RMB/foreign currency regulations so that the company’s treasury operations are efficient and above all, allow repatriation of capital at the appropriate time. We can also advise on sources of professional talent for the company and provide insights and alerts as to the changing regulatory scene in China, whether trade-related, financial, or market sector-specific. On an on-going operating basis, Aquitaine can provide the following advisory services:

    Operations management: product QA/QC, certifications, supply chain management, distribution channel management;
    Treasury operations: cash and liquidity management, including foreign currency accounts and RMB accounts, cash repatriation, management of receivables and payables, trade financing and payroll;
    Crucial hiring: for sourcing treasury, operations and human resource professionals;
    Regulatory landscape: legal, financial, currency, sector-specific;
    Intellectual property: including a risk assessment completed by Aquitaine that covers potential IP theft, counterfeiting and theft in general, and recommends solutions;
    Investment exit: if and when appropriate, Aquitaine will advise on the design of an investment exit, valuation of assets to exit, method of exit and timing.
